Clevotics provides the following services:
- AI automation solutions and implementations
- Custom software development services
- Web and mobile application development
- Robotic Process Automation (RPA) solutions
- Agile coaching and consulting services
- AI-powered business process optimization
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to our clients.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age to use our services. By using our Service, you represent and warrant that you have the legal capacity to enter into these Terms and comply with all applicable laws.
3.2 Account Information
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3.3 Corporate Accounts
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
4. AI Services and Data Processing
4.1 AI System Usage
Our AI services utilize machine learning algorithms and artificial intelligence technologies to provide automation solutions. You acknowledge that AI systems may produce outputs that are inaccurate, inappropriate, or unexpected. You are responsible for reviewing and validating all AI-generated outputs before implementation.
4.2 Data Input Responsibility
You are solely responsible for the lawfulness, accuracy, and appropriateness of all data, content, and instructions ("Inputs") provided to our AI systems. You warrant that your Inputs do not violate any laws, regulations, or third-party rights.
4.3 AI Training and Model Improvement
We do not use your confidential business data or proprietary information to train our general AI models. However, we may use anonymized and aggregated usage patterns to improve our services, subject to our Privacy Policy.
4.4 Human Oversight
You agree to implement appropriate human oversight and review processes for all AI-generated decisions and outputs, particularly in critical business operations or where legal compliance is required.
5. Intellectual Property Rights
5.1 Our Intellectual Property
All content, features, and functionality of our Service, including but not limited to text, graphics, logos, software code, AI algorithms, and methodologies, are owned by Clevotics and are protected by Indian and international copyright, trademark, and other intellectual property laws.
5.2 Client Data and Outputs
You retain ownership of all data, content, and information you provide to us. Subject to these Terms, we grant you ownership of the outputs generated specifically for you through our AI services, excluding our underlying proprietary algorithms and methodologies.
5.3 License to Use Our Services
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Service for your internal business purposes in accordance with these Terms.
5.4 Custom Development
For custom software development projects, intellectual property ownership will be specified in separate project agreements. Unless otherwise agreed, you will own the custom applications developed specifically for your business requirements.
6. User Conduct and Prohibited Activities
You agree not to use our Service to:
- Violate any applicable laws, regulations, or third-party rights
- Engage in any harmful, fraudulent, deceptive, or illegal activities
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or networks
- Reverse engineer, decompile, or disassemble our software or AI algorithms
- Use our AI services to create competing AI products or services
- Generate content that is defamatory, discriminatory, or violates privacy rights
- Overload our systems or interfere with other users' access to our Service
7. Service Level Agreements and Support
7.1 Service Availability
We strive to maintain high service availability but do not guarantee uninterrupted access to our Service. Scheduled maintenance and updates may temporarily affect service availability.
7.2 Technical Support
Technical support is provided during business hours (Monday to Friday, 9:00 AM to 6:00 PM IST) unless otherwise specified in your service agreement. Emergency support may be available for critical issues.
7.3 Service Level Commitments
Specific service level agreements, including uptime commitments and response times, will be detailed in individual service contracts or statements of work.
8. Payment Terms and Billing
8.1 Fees and Payment
Service fees are specified in your service agreement or project proposal. Payment terms are typically net 30 days from invoice date unless otherwise agreed. All fees are exclusive of applicable taxes.
8.2 Late Payments
Late payments may incur interest charges at the rate of 1.5% per month or the maximum allowed by law. We reserve the right to suspend services for overdue accounts.
8.3 Refund Policy
Refunds are generally not provided for services already rendered. Specific refund terms may be included in individual service agreements based on project milestones and deliverables.
9. Disclaimers and Limitations
9.1 Service Disclaimer
OUR SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 AI Output Disclaimer
WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED OUTPUTS. YOU ACKNOWLEDGE THAT AI SYSTEMS MAY PRODUCE BIASED, INCORRECT, OR INAPPROPRIATE RESULTS, AND YOU USE SUCH OUTPUTS AT YOUR OWN RISK.
9.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLEVOTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.
10. Indemnification
You agree to indemnify, defend, and hold harmless Clevotics and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with: (a) your use of our Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data or content you provide to our AI systems.
11. Confidentiality and Data Security
11.1 Confidentiality
We will maintain the confidentiality of your proprietary information and business data in accordance with industry standards and our Privacy Policy. Both parties agree not to disclose confidential information to unauthorized third parties.
11.2 Data Security
We implement appropriate technical and organizational security measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no internet-based system can be 100% secure.
11.3 Data Processing Agreement
For clients requiring specific data processing agreements under applicable privacy laws, separate Data Processing Agreements (DPAs) may be executed to supplement these Terms.
12. Termination
12.1 Termination by You
You may terminate your account and these Terms at any time by providing written notice. You remain liable for all charges incurred prior to termination.
12.2 Termination by Us
We may suspend or terminate your access to our Service immediately if you violate these Terms, engage in prohibited activities, or for non-payment of fees after appropriate notice.
12.3 Effect of Termination
Upon termination, your right to access and use our Service will cease. We will provide reasonable assistance in data migration for a period of 30 days following termination, subject to our data retention policies.
13. Compliance and Regulatory Considerations
13.1 Regulatory Compliance
Our AI services are designed to comply with applicable Indian laws and regulations, including the Digital Personal Data Protection Act (DPDPA) 2023 and emerging AI governance guidelines. You are responsible for ensuring your use of our services complies with all applicable laws in your jurisdiction.
13.2 Export Control
You agree to comply with all applicable export control laws and regulations regarding the use of our AI technologies and software solutions.
13.3 Industry-Specific Requirements
For clients in regulated industries (healthcare, finance, etc.), additional compliance requirements and certifications may be addressed through separate agreements and technical specifications.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of India without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be instituted exclusively in the courts of [Your Jurisdiction], India.
14.2 Alternative Dispute Resolution
Before pursuing formal legal action, the parties agree to attempt resolution through good faith negotiations. If unsuccessful, disputes may be resolved through binding arbitration under Indian Arbitration and Conciliation Act, 2015.
14.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.
15. Modifications and Updates
We reserve the right to modify these Terms at any time. Material changes will be communicated through email or prominent notices on our website at least 30 days before the effective date. Your continued use of our Service after such modifications constitutes acceptance of the updated Terms. If you do not agree with the modifications, you must discontinue using our Service.
16. Miscellaneous Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Clevotics regarding the use of our Service.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3 Force Majeure
Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, or network outages.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
